
Cabral Gold Inc. [CBR-TSXV, CBGZF-OTC] has adjusted the terms of its non-brokered private placement, now targeting $3.0 million in funding. This capital will drive exploration and development efforts at the company’s wholly owned Cuiu Cuiu gold district in Brazil’s Tapajos Region, the site of one of the nation’s largest historical gold rushes.
Amended Financing Terms
The updated financing involves the issuance of up to 12.5 million units at $0.24 per unit. Each unit comprises:
- One common share, and
- One-half of a common share purchase warrant, allowing warrant holders to acquire an additional share at $0.36 for up to two years following the placement’s closure.
This amendment replaces terms announced on October 30, 2024, reflecting adjustments to align with current market conditions. Following the announcement, Cabral’s stock remained steady at $0.275, trading within its 52-week range of $0.385 to $0.13.
Proceeds to Advance Cuiu Cuiu Development
The net proceeds from the financing will fund:
- Drilling
- Engineering efforts
- General corporate activities related to a pre-feasibility study (PFS) for a planned starter operation.
The starter operation will focus on weathered, near-surface oxide material within the Cuiu Cuiu district. This strategy supports Cabral’s long-term development vision for the project.
Located in the Tapajos Gold Province of Para, northern Brazil, Cuiu Cuiu holds historical significance, having contributed to the 30–50 million ounces of placer gold produced during the Tapajos gold rush from 1978 to 1995. Notably, the district itself yielded an estimated 2 million ounces during this period.

- 13.63 million tonnes grading 1.04 g/t gold (455,100 ounces) in fresh basement material.
- 12.22 million tonnes grading 0.39 g/t gold (151,608 ounces) in oxide material.
In addition to three defined deposits, the project features 43 peripheral exploration targets, offering significant upside potential.

Cuiu Cuiu benefits from its proximity to G Mining Ventures Corp.’s TZ Project, a 2-million-ounce gold asset expected to become Brazil’s third-largest gold mine when production begins in late 2024. Focusing on Cash Flow and Minimizing Dilution
Cabral Gold has prioritized near-term cash flow generation through trial mining of oxide blankets, aiming to reduce reliance on additional equity financing. The pre-feasibility study for this starter operation, scheduled for completion in early 2024, plays a pivotal role in this strategy.
Trial mining will also provide valuable insights into the scalability of operations, setting the stage for future development of the district’s deeper, higher-grade basement resources.
